Wingtech Technology, the Chinese parent company of Netherlands-based chipmaker Nexperia, has invited the court-appointed custodians of its Dutch unit to Beijing for discussions regarding control of the company, a source familiar with the matter said on Wednesday.
Nexperia BV confirmed that it is aware of the invitation extended to the two custodians. This step comes after Nexperia itself requested talks with its Chinese operations in late November, reflecting ongoing tensions over management and decision-making between the Dutch unit and its Chinese parent.
The custodians were appointed by a Dutch court to oversee Nexperia following concerns about the company’s governance and operations. Their role is to ensure that the company operates independently and in the interest of stakeholders in the Netherlands while maintaining compliance with local regulations.
Wingtech’s invitation signals an effort to resolve these disagreements through direct talks, highlighting the delicate balance between Chinese ownership and European oversight. Sources indicate that both sides are seeking a way to clarify control and management responsibilities, aiming to prevent further legal or operational disputes.
The chip industry has been under pressure due to global supply shortages and rising demand, making clear management and strategic decisions critical for Nexperia’s business. Nexperia produces key semiconductor components used in a variety of electronics worldwide, and any uncertainty in leadership could impact both production and international partnerships.
While no dates for the meetings have been confirmed, the discussions are expected to cover governance structures, decision-making authority, and ways to maintain smooth operations across borders. Both Wingtech and Nexperia have emphasized the importance of cooperation to ensure the company’s continued growth and stability.
Analysts say the outcome of these talks could set a precedent for how Chinese-owned European companies handle cross-border management issues. With tensions between China and Western countries over technology and trade, maintaining trust and transparency in multinational operations is becoming increasingly important.
As the talks approach, industry observers will be closely watching the developments, as the resolution could have broader implications for foreign ownership of strategic technology firms in Europe.
The invitation to Beijing represents a constructive step toward dialogue, with both parties appearing willing to discuss governance solutions while protecting the company’s interests and European regulatory requirements.
